These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and EdgeX, a trading signal service operated under Prezerv ("EdgeX", "we", "us", or "our"). By accessing or using the EdgeX platform, website, mobile applications, or any related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately discontinue use of the Service.
1. Nature of Service and Disclaimers
EdgeX provides cryptocurrency trading signals, market analysis, and related educational content for informational purposes only. The Service is not registered with the Securities and Exchange Board of India (SEBI) or any other financial regulatory authority. Nothing contained in the Service constitutes investment advice, financial advice, trading advice, or any other form of professional advice. All signals, analyses, recommendations, and content provided through the Service are for educational and informational purposes only and should not be construed as a recommendation to buy, sell, hold, or otherwise transact in any cryptocurrency, security, or financial instrument. Users acknowledge that cryptocurrency trading involves substantial risk of loss and is not suitable for all investors. Past performance of any trading signal, strategy, or the Service as a whole is not indicative of future results. Users should conduct their own research and due diligence before making any investment decisions. EdgeX does not guarantee the accuracy, completeness, timeliness, or reliability of any information provided through the Service.
2. Risk Acknowledgment
By using the Service, you expressly acknowledge and accept that: (a) cryptocurrency markets are highly volatile and unpredictable; (b) you may lose some or all of your invested capital; (c) leveraged trading can result in losses exceeding your initial investment; (d) cryptocurrency exchanges may experience technical failures, security breaches, or insolvency; (e) regulatory changes may adversely affect cryptocurrency values or your ability to trade; (f) signals provided by the Service may be delayed, inaccurate, or fail to execute as intended; (g) market conditions may change rapidly, rendering any signal or analysis obsolete; (h) you are solely responsible for all trading decisions and their consequences; (i) EdgeX has no control over external factors affecting cryptocurrency markets; and (j) there is no guarantee of profit or protection against loss.
3. User Representations and Warranties
By using the Service, you represent and warrant that: you are at least 18 years of age or the age of legal majority in your jurisdiction; you have the legal capacity to enter into binding contracts; you are not located in a jurisdiction where cryptocurrency trading or the use of this Service is prohibited; you have sufficient knowledge and experience to evaluate the risks of cryptocurrency trading; you are using only risk capital that you can afford to lose entirely; you will comply with all applicable laws, regulations, and tax obligations in your jurisdiction; you will not use the Service for any illegal, fraudulent, or unauthorized purpose; all information you provide to EdgeX is accurate, complete, and current; and you are not relying on EdgeX for investment, financial, legal, or tax advice.
4. Limitation of Liability
To the maximum extent permitted by applicable law, EdgeX, its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses, arising out of or in connection with: your use of or inability to use the Service; any signals, content, or information obtained through the Service; any trading decisions made based on the Service; unauthorized access to or alteration of your data; any third-party conduct or content; or any other matter relating to the Service. In no event shall EdgeX's total cumulative liability exceed the lesser of: (a) the total fees paid by you to EdgeX in the twelve (12) months preceding the claim, or (b) One Thousand Indian Rupees (₹1,000). This limitation applies regardless of the legal theory upon which the claim is based, including negligence, breach of contract, breach of warranty, or strict liability.
5. Indemnification
You agree to indemnify, defend, and hold harmless EdgeX, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: your use of the Service; your violation of these Terms; your violation of any applicable law or regulation; your violation of any third-party rights; any trading activity conducted through your account; any content or information you submit through the Service; or any dispute between you and any third party. EdgeX reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify EdgeX.
6. Subscription and Payment Terms
Access to certain features of the Service requires a paid subscription. Subscription fees are charged in advance on a recurring basis according to the billing cycle selected at the time of purchase. All fees are quoted in Indian Rupees unless otherwise specified. Payments are processed through third-party payment processors, and you agree to abide by their terms of service. All subscription fees are non-refundable except in cases of documented technical issues preventing access to the Service for more than seven (7) consecutive days, in which case a pro-rata refund may be issued at EdgeX's sole discretion. EdgeX reserves the right to modify subscription fees at any time upon thirty (30) days' notice. Continued use of the Service after a fee change constitutes acceptance of the new fees. Failure to pay subscription fees may result in suspension or termination of your account.
7. Intellectual Property Rights
All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, trading algorithms, and signal generation methodologies, are the exclusive property of EdgeX or its licensors and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use only. You may not: reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from the Service; use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text; delete or alter any copyright, trademark, or other proprietary notices; or access or use the Service for any commercial purpose or competitive analysis.
8. Privacy and Data Protection
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy. You acknowledge that EdgeX may be required to collect, retain, and report certain information under applicable anti-money laundering laws, including the Prevention of Money Laundering Act, 2002 (PMLA) and regulations issued by the Financial Intelligence Unit - India (FIU-IND). EdgeX implements reasonable security measures to protect your personal information but cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your account credentials.
9. Dispute Resolution and Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, Telangana, India. You waive any objection to venue in such courts and agree not to plead forum non conveniens. Before initiating any legal proceeding, you agree to first contact EdgeX at support@prezerv.in and attempt to resolve the dispute informally for a period of at least thirty (30) days. You agree that any cause of action arising out of or related to the Service must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action is permanently barred.
10. Termination
EdgeX may, in its sole discretion, suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to: violation of these Terms; suspected fraudulent, abusive, or illegal activity; non-payment of fees; extended periods of inactivity; or discontinuation of the Service. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability. EdgeX shall not be liable to you or any third party for any termination of your access to the Service.
11. General Provisions
These Terms constitute the entire agreement between you and EdgeX regarding the Service and supersede all prior agreements and understandings, whether written or oral. EdgeX's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. You may not assign or transfer these Terms or your rights hereunder without EdgeX's prior written consent. EdgeX may assign these Terms without restriction. These Terms do not create any agency, partnership, joint venture, or employment relationship. EdgeX reserves the right to modify these Terms at any time by posting the revised Terms on the Service. Your continued use of the Service after any such changes constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically for changes.
12. Automated Trading Services
EdgeX may offer automated trading services including but not limited to copy trading functionality and API-based trade execution through supported third-party cryptocurrency exchanges. By enabling or using any automated trading feature, you acknowledge and agree to the following terms and conditions which apply in addition to all other provisions of these Terms of Service.
With respect to copy trading services where EdgeX or its designated traders operate as lead traders on supported exchanges, you understand that: you voluntarily choose to follow and copy trades executed by EdgeX lead traders through the native copy trading functionality provided by the relevant third-party exchange; all trade execution, order matching, and settlement is handled entirely by the third-party exchange platform and not by EdgeX; there may be delays or differences between the execution price of the lead trader and your copied trade due to market conditions, liquidity, network latency, exchange processing times, or other factors commonly referred to as slippage; your position sizes, leverage settings, and risk parameters are determined by your own account settings on the third-party exchange and EdgeX has no control over these settings; EdgeX does not have access to your exchange account, funds, or credentials when you use native copy trading functionality; you may unfollow or stop copying at any time through your exchange account settings, however any open positions at the time of unfollowing will remain open until you manually close them or they are closed by the exchange according to your settings; not all trades executed by lead traders may be copied to your account due to factors including but not limited to insufficient balance, position limits, exchange restrictions, or technical issues; and the third-party exchange may modify, suspend, or discontinue their copy trading functionality at any time without notice to EdgeX.
With respect to API-based automated trading services where you provide API credentials to enable direct trade execution, you understand that: you provide API keys or credentials entirely at your own risk and discretion; you are solely responsible for the security, storage, and management of your API credentials; you should only provide API keys with trade-only permissions and should never provide keys with withdrawal permissions; while EdgeX implements industry-standard encryption and security measures to protect stored credentials, no system is completely secure and EdgeX cannot guarantee protection against all potential security breaches, hacking attempts, or unauthorized access; you can revoke API access at any time through your exchange account settings and it is your responsibility to do so if you suspect any unauthorized access; trades executed via API may fail, be delayed, be partially filled, or execute at prices different from expected due to exchange conditions, API rate limits, network issues, or system errors; EdgeX is not responsible for any losses arising from API key compromise, whether due to your actions, third-party actions, or any security incident; and you are responsible for monitoring your exchange account for any unauthorized activity.
The following terms apply to all automated trading services regardless of the method used: all trades executed through automated services are subject to the fees, funding rates, margin requirements, and other charges imposed by the relevant third-party exchange and you are solely responsible for understanding and paying all such charges; leveraged positions created through automated trading may be subject to liquidation by the exchange if margin requirements are not maintained and EdgeX has no control over and accepts no responsibility for liquidation events; exchange platforms may experience downtime, technical failures, security breaches, regulatory actions, or insolvency and EdgeX is not responsible for any losses arising from such events; automated trading systems may experience technical errors, bugs, connectivity issues, or other malfunctions and while EdgeX endeavors to maintain reliable systems, no guarantee of uptime or error-free operation is provided; past performance of any automated trading strategy, lead trader, or signal is not indicative of future results; you should not enable automated trading with funds you cannot afford to lose entirely; EdgeX may modify, suspend, or discontinue any automated trading feature at any time with or without notice; and you remain fully responsible for all tax obligations arising from trades executed through automated services. By enabling any automated trading feature, you represent that you have read and understood all associated risks, that you accept full responsibility for all trades executed through such services, and that you will not hold EdgeX liable for any losses, regardless of cause.
